We reserve the right to:

5. Shipping, Delivery, and Installation

Estimated delivery and installation dates are provided for convenience only and are not guaranteed. Cal Robots is not responsible for delays caused by manufacturers, shipping carriers, customs, force majeure events, or customer-site readiness issues.

Risk of loss transfers in accordance with applicable shipping terms or as specified in a separate agreement.

6. Use of Robots and Services

You agree to use all robots, software, and Services:

  • In compliance with applicable laws, regulations, and safety standards
  • In accordance with manufacturer documentation and Cal Robots' instructions
  • For lawful commercial purposes only

You are solely responsible for site conditions, operator training, supervision, and compliance with workplace safety and accessibility requirements.

7. Prohibited Activities

You may not:

  • Misuse, modify, reverse engineer, or tamper with any robot, software, or system
  • Use the Services for unlawful, hazardous, or unauthorized purposes
  • Interfere with or disrupt the Website, networks, or security features
  • Infringe upon the intellectual property or rights of others

8. Intellectual Property

All content on the Website, including text, graphics, logos, images, software, and trademarks, is owned by or licensed to Cal Robots or its partners and is protected by intellectual property laws.

10. Manufacturer Warranties and Pass-Through Terms

Certain robots, components, software, and accessories sold, leased, or rented by Cal Robots are manufactured or supplied by third-party manufacturers, including but not limited to Keenon Robotics and its affiliates ("Manufacturers").

To the extent permitted by law, any applicable manufacturer warranties are provided directly by the Manufacturer and are passed through to you without modification. Cal Robots does not provide any independent warranty beyond what is expressly stated in a separate written agreement.

Cal Robots makes no representations or guarantees regarding the scope, duration, or performance of any Manufacturer warranty and is not responsible for a Manufacturer's failure to honor its warranty obligations.

Warranty claims, repairs, replacements, and related determinations may be subject to the Manufacturer's terms, approval processes, and service requirements.

You acknowledge and agree that:

  • Manufacturer warranties may differ by product, model, usage type, and deployment environment
  • Certain warranties may be voided by misuse, unauthorized modification, improper maintenance, or operation outside published specifications
  • Software and firmware may be subject to separate license agreements and warranty limitations

Except as prohibited by law, all products are provided with no additional warranties, express or implied, by Cal Robots, including any implied warranties of merchantability or fitness for a particular purpose, except as expressly set forth in a separate written agreement.

11. Disclaimers

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Cal Robots does not warrant that the Services will be uninterrupted, error-free, or meet your specific operational or financial expectations.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAL ROBOTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE USE OF THE WEBSITE, ROBOTS, OR SERVICES.

IN NO EVENT SHALL CAL ROBOTS' TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO CAL ROBOTS FOR THE SPECIFIC SERVICE OR PRODUCT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cal Robots, its officers, members, employees, and partners from any claims, damages, losses, liabilities, and expenses arising out of:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights

14. Termination

We may suspend or terminate your access to the Website or Services at any time, with or without notice, for conduct that we reasonably believe violates these Terms or poses a risk to Cal Robots, our partners, or others.

Upon termination, provisions that by their nature should survive shall survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

16. Arbitration and Dispute Resolution

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Website, the Services, or any products or robots provided by Cal Robots (collectively, "Disputes") shall be resolved exclusively by final and binding arbitration, rather than in court, except as expressly provided below.

The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall take place in the State of California, unless the parties mutually agree otherwise. The arbitrator shall have the authority to award any relief available under applicable law, except that the arbitrator may not award punitive damages except where expressly authorized by statute.

Class Action Waiver

You agree that any arbitration or proceeding shall be conducted on an individual basis only and not as a class, consolidated, or representative action. The arbitrator shall not have authority to consolidate claims or preside over any form of class or representative proceeding.

Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights, confidential information, or trade secrets. Small claims court actions may be brought if they qualify.

Costs

Each party shall bear its own attorneys' fees and costs unless otherwise required by applicable law or awarded by the arbitrator.

Waiver of Jury Trial

YOU AND CAL ROBOTS HEREBY WAIVE ANY RIGHT TO A TRIAL BY JURY.

17. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

To the extent any dispute is found not subject to arbitration, such action shall be brought exclusively in the state or federal courts located in California.

18. Changes to Terms

We may update these Terms from time to time. Changes will be effective upon posting to the Website. Your continued use of the Services constitutes acceptance of the revised Terms.
